ARTICLE 1: ORGANIZATION CAUDALIE CANADA Inc, (hereinafter referred to as the "Organizing Company"), located at 17 Hazelton Ave, Toronto, Ontario M5R 2E1, is organizing a free game with no obligation to purchase called "CAUDALIE X GLAMZILLA GIVEAWAY" (hereinafter referred to as the "Game") on the social networks Instagram and TikTok. The Game is organized by the Organizing Company in partnership with the makeup artist Stephanie Valentine, (hereinafter “Glamzilla”). The Rules constitute the framework of the rules applicable to the Game. They are available at the following link XXX for the Duration of the Game. They may be supplemented or modified by specific terms and conditions that will be specified on the caption of Glamzilla Instagram and TikTok publications relating to the Game (hereinafter "the Posts").
ARTICLE 2: PARTICIPATION IN THE GAME The Game is open to individuals who, at the time of entry, have reached the age of majority in their country of residence, are legal residents of Canada or the United States, and possess a valid form of identification (hereinafter the 'Participants'). Participation in the Game implies full and unreserved acceptance of the Rules and the specific terms and conditions specified on the Posts. Employees of the Organizing Company, its affiliates, subsidiaries, advertising and promotional agencies, and their immediate families are excluded from participation in the Game.
ARTICLE 3: DURATION The Game begins on June 2 nd , 2025, at 09:00 a.m. (Eastern Time – Toronto, Canada) and ends on June 13th , 2025 at 11:59 p.m. (Eastern Time – Toronto, Canada) (hereinafter the "Duration") Only the times and dates of participation comments on the Posts, recorded by the Organizing Company and/or its partners, are deemed valid.
ARTICLE 4: PRINCIPLE OF THE GAME The Game will be announced by the publication of the Posts on Glamzilla Instagram and TikTok accounts (@glamzilla) on June 2 n , 2025 at 12:00 PM (Eastern Time – Toronto, Canada). To participate and attempt to win the prize (hereinafter the "Prize"), each Participant must meet all of the following cumulative conditions during the Duration: - Like and comment the Post on Instagram and/or TikTok - Record themselves in a stitched video to the Post on Instagram and/or Tiktok (hereinafter the “Video”) - In the Video, the Participant must say why they want to be a beauty creator and why they love being a part of the beauty community - Read and accept the Rules without reservation. 2 Participants must not be bound by any exclusivity agreement with a third party that would prevent them from posting contents related to the Caudalie brand if they win the Game. Participants must be available on the dates of the Trip. Two (2) Participants (one (1) on Instagram and one (1) on TikTok will be selected in the conditions detailed in Article 6 of the Rules. Each Participant may only hope to win one (1) Prize. Each Participant agrees to abide by all the terms and conditions of use of the Instagram and TikTok platforms. The Videos published by the Participants on the Posts for entering the Game, must not contain any violent, pornographic, abusive, defamatory, or racist content. They must not contain any element that violates the privacy, image rights or intellectual property rights of third parties, nor any element that is contrary to the law or that violates public order or morality. Any participation that is incomplete or erroneous, whether intentionally or not, or made in a form other than that provided for in the Rules will be considered null and void. It is specified that the purchase of products from the brand Caudalie shall in no way increase the Participant's chance of being selected to win the Prize. The Organizing Company has sole authority to decide whether a participation is admissible.
ARTICLE 5: PRIZE The Organizing Company is offering the following Prize to each Winner, consisting of: A 2 days and 2 nights trip to Toronto with flights, hotel and meals accommodations provided by the Organizing Company, on a date determined solely by the Organizing Company within the year of 2025. Further details to be provided upon selection of winners. During the Trip: - A meet and greet (lunch) with Glamzilla in Toronto - One day on set with the brand Caudalie for a personal photoshoot with the Beauty Elixir and Instant Detox Mask products (hereinafter the “photoshoot”) - One facial treatment at the Toronto Caudalie boutique Spa - A $1500 CAD paid Partnership (the terms of which are detailed below) (hereinafter the “Partnership”) Details: The Prize includes a round-trip economy class flight with carry-on baggage from the airport closest to the Participant's home to Toronto airport. The Winners must ensure they comply with all administrative formalities and obtain all necessary travel documents and identification required for travel to Toronto, Canada, from their hometown. All transportation required in connection with the Prize — including travel between the airport, hotel, home, meet and greet, and the set — will be covered by the Organizing Company through the provision of Uber credits. 3 A daily meal voucher worth $200CAD will be provided to the Winners, for a total value of $400, usable inside or outside the hotel. Additional living expenses beyond the meal vouchers and Uber credits will not be covered by the Organizing Company. During the photoshoot, the Winners will use Caudalie products, specifically the Beauty Elixir and Instant Detox Mask. By participating in the photoshoot, the Winners confirm that they have taken this step and assume full responsibility in case of any allergic reaction. By accepting the Prize, the Winners expressly agree to grant the Organizing Company and companies in its group, particularly foreign entities throughout the world in any country, the right to use, reproduce, publish, and communicate their image, likeness, voice, and any content created during the Photoshoot for promotional purposes related to the Game, the Caudalie brand, and its products. This authorization includes publication on the official Instagram account @caudalieUS and the TikTok account @Caudalie, as well as the following Caudalie channels: Caudalie and partnering retailer and e-retailer landing pages; email and SMS; Paid Media advertising; connected Television; advertising across Caudalie retailer and e-retailer channels; VM (Visual Merchandising) and POS (Point Of Sale) for Caudalie boutiques and retailer; OOH (Out Of Home) and DOOH (Digital Out of Home); education and sales materials’ and PR Mailers. As part of the Partnership, the Winners will also be required to share the contents resulting from the Photoshoot on their own social media accounts, with the aim of promoting the Caudalie brand and its products, specifically the Beauty Elixir and Instant Detox Mask. The terms and conditions governing these obligations, including image rights and content use, will be detailed in a separate agreement to be signed between each Winner and the Organizing Company. By accepting the Prize, each Winner agrees to enter and sign this formal agreement. The value of the Prize is non-contestable and may not be the subject of any reimbursement, cash exchange, substitution or compensation. The Prize is nominative and non-transferable.
ARTICLE 6: SELECTION OF THE WINNER The two (2) selected Participants who will win the Prize (the 'Winner(s)') will be selected at the end of the Duration by the Organizing Company, in collaboration with Glamzilla, at their sole discretion, from all valid participations, based on the criteria detailed in Articles 2 and 4 of the Rules, and on the overall quality and originality of the Video.
ARTICLE 7: DELIVERY OF PRIZES The Winner will be contacted via their Instagram or Tiktok messaging system by Glamzilla Instagram or TikTok account @glamzilla within 5 calendar days following the end of the Duration. 4 If a Participant selected does not respond within 48 hours of the notification being sent by Glamzilla, a new Winner will be selected. The Participant initially contacted who has not responded within the allotted time will automatically lose their right to the Prize and will not be able to make any claim in this respect. The Winner will be asked by Glamzilla to provide an email address to be contacted by a representative of the Organizing Company for matters relating to the organization of the Trip and the award of the Prize. They will be asked to give the following personal information: full legal name, date of birth, postal address, phone number, passport number. The $1,500 CAD paid Partnership prize will be awarded to the Winners only after they have shared the content resulting from the photoshoot on their respective Instagram or TikTok accounts. The payment will be made by bank transfer to the account details provided by each Winner. The transfer will be processed within thity (30) days from the date the required content is published by the Winner on their social media account. Any upgrades or additions are at the Winner’s expense and subject to availability. Once flight and hotel bookings are confirmed, no changes to travel dates will be allowed. The stay at the hotel cannot be extended beyond the duration included in the Prize. Only the official Instagram or TikTok account @Glamzilla will contact the Winner in connection with the Game. The only time the Winner will be required to provide banking information is for the Partnership related bank transfer. The Organizing Company and Glamzilla decline all responsibility in the event that a Participant transmits their personal data to a fraudulent account pretending to be the Game's Organizing Company or Glamzilla.
ARTICLE 8: LIABILITY The Organizing Company reserves the right to shorten, extend, modify or cancel the Game, if circumstances so require, without liability or entitlement to compensation of any kind on the part of Participants. In addition, it may not be held liable in the event of the occurrence of events that constitute force majeure or a fortuitous event beyond its control, notably depriving Participants of the possibility of participating in the Game and/or depriving the Winner(s) of the benefit of their winnings. Any additional cost required to take possession of the Prize shall be borne entirely by the Winner, who may not claim any financial compensation from the Organizing Company. It is understood that the Game is in no way sponsored, managed or sponsored by Instagram or Tik Tok. Under no circumstances will Instagram or Tik Tok be liable to Participants in the event of litigation. The Organizing Company reminds Participants of the characteristics and limits of the Internet network and declines all responsibilitý for the consequences of their connection to the Instagram and TikTok social networks. And in particular the responsibility of the Organizing Company can in no case be retained in case of problems of routing or loss of postal or electronic mail. More particularly, the Organizing Company shall not be held liable for any damage, material or immaterial, caused to Participants, their computer equipment and the data stored therein and the consequences that may arise therefrom on their personal or professional activity. Furthermore, Participants release and agree not to hold the Organizing Company and Glamzilla, and their affiliated partners liable for any injury, loss or damage of any kind resulting from or related to participation in the Game or use of the Prize. 5 The Organizing Company reserves the right to modify the Prize by another of equivalent value, as well as to cancel or adapt the Game in the event of fraud, technical problems or any circumstance beyond its control. Any modification will be communicated in advance by any means deemed appropriate. The reproduction and representation of all or part of the elements making up the Game, in particular photos, logos and texts, are strictly prohibited for any reason whatsoever.
ARTICLE 9: AUTHORIZATIONS Subject to their explicit consent, the information collected on Participants may be used by the Organizing Company and/or its partners.

ARTICLE 11: APPLICABLE LAW The Game is governed by the laws of the Province of Ontario, Canada. In the event of a dispute relating to these Rules, the parties will endeavor to find an amicable solution. Failing that, the courts of Ontario shall have exclusive jurisdiction. The Organizing Company is solely authorized to interpret and apply the Rules.
